Allison Scaduto
Allison Scaduto concentrates her practice on corporate law and business transactions, advising founders and established companies on mergers, acquisitions, and complex corporate transactions. She works particularly in the franchise space, where she advises franchise companies and leaders on system development, growth, and strategic transactions. With extensive experience on both buy and sell sides, Allison brings balanced perspective to strategic decisions.
Her practice encompasses the full scope of corporate advisory: business formation, corporate governance and restructuring, and contract negotiation. She advises on asset and stock acquisitions and franchise system development and other business contracts essential to scaling operations. Allison solves problems through effective deal team management, anticipating deal challenges, and keeping transactions moving toward close. She’s known for cutting through complexity, identifying and mitigating risk, and protecting her clients’ interests without sacrificing momentum.
Allison also advises nonprofit organizations and mission-driven companies on corporate structure, governance, and operations. As Founder and Executive Director of The Ocean Is Female Foundation – a nonprofit dedicated to supporting survivors of abuse through community- based surf therapy programming – Allison combines legal expertise with deep understanding of the real challenges founders face when scaling mission alongside growth.
Prior to joining the firm, Allison was an associate at Sills Cummis & Gross P.C. in Newark and Pepper Hamilton, LLP in Princeton. She is admitted to practice in New Jersey and Pennsylvania. Allison graduated with honors from Seton Hall University School of Law in 2008 and earned her Bachelor of Arts degree from Bowdoin College in 2002. She is a mother of two daughters and resides in New Jersey.
